Subscription Agreement

This Subscription Agreement (the “Agreement”) governs your subscription to the Sentie application and platform operated by Formation Research AI Labs Inc. (“Formation,” “we,” “us,” or “our”). It is separate from and in addition to the Terms of Service that govern the sentie.io marketing website. By subscribing to the Service, creating a paid or trial account, or otherwise accessing the Service, you agree to be bound by this Agreement.

1. Scope

This Agreement applies to your access to and use of the Sentie application at app.sentie.io, the Sentie API, and any other Formation product or service that requires a subscription (collectively, the “Service”). The sentie.io marketing website is governed by the separate Terms of Service.

2. The Subscription

When you subscribe to the Service, you select a plan (each, a “Plan”) and a billing interval (for example, monthly or annual). Your subscription begins on the start date associated with your account and continues until canceled by you or terminated by us in accordance with this Agreement. Plans, prices, included usage, and other commercial terms are described at the point of subscription and on our website, and are incorporated into this Agreement by reference.

3. Free Trial

We may offer a free trial period before paid billing begins. During the trial, you may use the Service subject to this Agreement. We may require a payment method on file as a condition of the trial. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and we will charge your payment method at the rate disclosed at signup. Free trials are limited to one per customer or organization and are subject to any additional terms posted at the point of signup.

4. Billing and Payment

Subscriptions are billed in advance on a recurring basis according to the billing interval you selected. You authorize us, and our payment processor, to charge your payment method on file for all amounts due, including applicable taxes. If a charge fails, we may retry the charge, suspend or downgrade your access, or terminate your subscription after notice. Late or failed payments may also be subject to a reasonable collection fee where permitted by law.

5. Changes to Pricing and Plan Structure

We reserve the right to modify the pricing, plan structure, included usage, billing interval, or any other commercial terms of your subscription at any time during your active subscription, in our sole discretion. We will notify you of any such material change by email to the address associated with your account at least thirty (30) days before the change takes effect. For purposes of this section, a “material change” includes any price increase, a reduction in included usage or feature availability that affects you, or a change in billing interval.

If you do not agree to a material change, you may cancel your subscription before the change takes effect, with cancellation effective at the end of your then-current billing period. If you do not cancel and continue to use the Service after the change takes effect, you accept the change.

Non-material changes (for example, corrections to plan descriptions, addition of new optional features, or changes to plan names) may take effect without prior notice.

6. Cancellation by You

You may cancel your subscription at any time through the account settings in the Service or by contacting us at hello@sentie.io. Cancellation takes effect at the end of your then-current billing period; you retain access to the Service through the end of the period for which you have already paid. We do not provide pro-rated refunds for partial billing periods except where required by applicable law.

7. Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current rate for your Plan, unless you cancel before the end of the current period. We will notify you of any change to the renewal rate as set out in Section 5.

8. Termination or Suspension by Us

We may suspend or terminate your subscription, in whole or in part, if you (a) breach this Agreement, (b) fail to pay any amounts when due, (c) use the Service in a manner that we reasonably believe poses a security, legal, or operational risk, or (d) engage in fraudulent or abusive activity. We will provide notice where reasonably practicable. On termination, your access to the Service ends and we may delete your data after a reasonable retention period in accordance with our Privacy Policy.

9. Refunds

Except as expressly required by applicable law or as we may otherwise agree in writing, payments are non-refundable. We have no obligation to refund subscription fees if you cancel, are terminated for cause, or do not use the Service.

10. Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for all sales, use, value-added, withholding, and similar taxes applicable to your subscription, other than taxes based on our net income. Where we are required to collect such taxes, they will be added to your invoice.

11. Service Availability

We strive to make the Service available with high reliability, but we do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We may schedule maintenance, deploy updates, and modify or discontinue features over time. Material discontinuation of a Plan or substantial reduction of Service functionality during your active subscription will be handled as a material change under Section 5.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORMATION RESEARCH AI LABS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THIS AGREEMENT. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated version with a new “Last updated” date and, for material changes that affect your rights or obligations, we will notify you by email at least thirty (30) days before the change takes effect. Your continued use of the Service after the effective date of an update constitutes acceptance. If you do not agree to an update, you may cancel your subscription as set out in Section 6.

14. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute will be resolved exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Entire Agreement

This Agreement, together with the Privacy Policy and any plan-specific terms presented at signup, constitutes the entire agreement between you and Formation Research AI Labs Inc. regarding your subscription to the Service and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions relating to the Service, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
